1. Acceptance of Terms

By accessing and using Scale GuruX services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Scale GuruX provides comprehensive business growth and digital transformation services including:

• Business growth strategy development and implementation
• Digital marketing and performance advertising
• Website development and optimization
• AI automation and business process optimization
• Branding and creative services
• Consultation and advisory services

3. Client Obligations

Information Accuracy

Clients must provide accurate, complete, and up-to-date information including:

• Business details, goals, and current challenges
• Access credentials for platforms and accounts
• Brand guidelines, content, and marketing materials
• Timely feedback and approvals as requested

Cooperation and Communication

Clients agree to maintain open communication, respond to requests within agreed timeframes, and provide necessary cooperation for project success.

4. Payment Terms

Pricing and Fees

• All prices are quoted in Kenya Shillings (KSh) unless otherwise specified
• Pricing is custom-determined based on project scope and requirements
• Additional work outside agreed scope will be charged separately
• Third-party costs (advertising spend, software licenses) are additional

Payment Schedule

• 50% deposit required before project commencement
• Remaining balance due upon project completion
• Payment plans available for projects over KSh 500,000
• Late payments incur 2% monthly interest charges

5. Deliverables and Timeline

Project Delivery

We commit to delivering projects according to agreed timelines, subject to:

• Timely client feedback and approvals
• Provision of required materials and access
• No major scope changes during execution
• Availability of third-party services and platforms

Performance Expectations

While we strive for exceptional results and have a proven track record, business growth depends on multiple factors. We provide strategies and implementation based on industry best practices but cannot guarantee specific revenue or growth outcomes.

6. Intellectual Property

Client Content

Clients retain ownership of their:

• Brand assets, trademarks, and existing content
• Business strategies and proprietary information
• Data and analytics generated through our services

Scale GuruX Work Product

We retain rights to:

• Our methodologies, frameworks, and processes
• Templates and tools developed independently
• General knowledge and experience gained

Deliverable Ownership

Upon full payment, clients receive full ownership of custom deliverables including websites, campaigns, and strategic documents created specifically for their business.

7. Confidentiality

Both parties agree to maintain confidentiality of:

• Proprietary business information and strategies
• Financial data and performance metrics
• Customer lists and market intelligence
• Any information marked as confidential

8. Limitation of Liability

Scale GuruX's liability is limited to the amount paid for our services. We are not liable for indirect, incidental, or consequential damages. Our responsibility is limited to providing professional services according to industry standards.

9. Termination

Termination by Client

Clients may terminate services with 30 days written notice. Terms:

• Payment due for all work completed to date
• Delivery of completed deliverables
• No refund for work already performed

Termination by Scale GuruX

We may terminate services for non-payment, breach of terms, or unethical business practices. Completed work will be delivered upon payment of outstanding fees.

10. Refund Policy

Satisfaction Guarantee

We offer a 30-day satisfaction guarantee:

• If unsatisfied with initial strategy within 30 days, we'll provide a full refund
• Refund applies only to strategic consulting, not implementation work
• Client must provide specific feedback and allow opportunity for resolution
• Refund does not apply to third-party costs or advertising spend

11. Governing Law

These terms are governed by the laws of Kenya. Any disputes will be resolved through arbitration in Nairobi, Kenya, according to the Arbitration Act, 1995.

12. Modifications

Scale GuruX reserves the right to modify these terms at any time. Changes will be communicated to clients via email and posted on our website. Continued use of services constitutes acceptance of modified terms.
